Provider: Dime Legacy Partners ("DLP", "we", "us", "our"), RC. 1927994, a company registered in Nigeria.

This document is an initial legal framework generated from a technical audit of the DLP platform. It is not a substitute for advice from qualified legal counsel and must be reviewed before publication.


1. Acceptance of these Terms

By creating an account, submitting an assessment, booking a session, or otherwise using the Platform, you agree to these Terms on behalf of yourself and, where you are acting for a company, on behalf of that company, which you confirm you have authority to bind.


2. What the Platform is, and is not

The Platform is a digital workspace supporting DLP's growth, compliance, and regulatory advisory services across Nigeria, Ghana, and Kenya. It supports client assessment, dossier compilation, document upload, pipeline tracking, e-signature, session scheduling, and advisory communication.

The Platform is not a substitute for DLP's offline advisory and filing work, and does not itself:

  • Interface directly with any government portal or system;

  • Submit filings to, or communicate directly with, any regulator;

  • Hold capital, process escrow, or handle any government fee;

  • Provide a guarantee of any regulatory outcome, license grant, or filing

approval;

  • Constitute the practice of law. Where a matter requires licensed legal

representation, that representation is arranged and delivered offline, under a separate engagement.

The Platform does not process payments. No fee, invoice, or pricing information is generated, displayed, or collected through the Platform. All commercial terms are agreed directly between you and DLP, offline.


3. Accounts

3.1 Account types

  • Incorporated company accounts are verified using a corporate email

domain and a one-time passcode.

  • Pre-incorporation founder accounts are verified using a personal

email, a one-time passcode, and a self-declaration. These accounts are subject to a monthly intake quota and cannot initiate any filing that requires an incorporation (RC) number.

  • Guest accounts are created automatically if you complete an

assessment without registering. A guest account and any associated docket are held for 30 days, after which they are deleted, unless you verify your email and set a password before then.

3.2 Your responsibilities

You are responsible for:

  • Providing accurate information at registration and keeping it current;

  • Maintaining the confidentiality of your password and any device used to

access your account;

  • All activity that occurs under your account, except where caused by

DLP's own failure to meet its security obligations.

Notify us immediately at partners@dimelegacy.com if you suspect unauthorised access to your account.


4. The assessment and reporting process

  • Gate 1 is a structured questionnaire, scored server-side. Some

situations are routed directly to a booked session rather than to an AI report, including where the questionnaire indicates the matter is too complex for automated assessment.

  • Gate 2, where reached, produces a structured report generated using an

AI model, based on your compiled questionnaire responses.

  • A debrief conversation, where offered, is scoped strictly to the

findings of your own report, and is limited to a fixed number of message exchanges per session.

  • AI-generated content is **informational and does not constitute

regulatory, legal, tax, financial, or other professional advice**. It is not a substitute for direct advice from a DLP advisor, and you should not rely on it as such. See our separate AI Assessment Disclaimer.

  • Reports are stored in the Platform for a limited period, currently 30

days, after which they are removed from active storage, though a record that a report existed remains visible to you. We separately retain a backup copy beyond that window, as described in our Privacy Policy.


5. Dockets, pipelines, and the offline handoff

A docket represents a unit of work (a license application, workstream, model, or engagement). Dockets progress through defined stages. At certain points, most notably before any government filing, capital escrow arrangement, or administrative hearing, the Platform will require you to acknowledge, through an on-screen prompt, that the next step happens offline, outside the Platform, before DLP proceeds. This acknowledgement is recorded against your account.

You understand and agree that DLP's role in the offline steps described above, and the terms on which DLP performs them, including fees, are governed by your separate engagement letter with DLP, not by these Terms.


6. Electronic signature

Certain documents, including engagement letters, scopes of work, and partner agreements, may be signed electronically through the Platform. By using the Platform's e-signature feature you agree to our Electronic Signature Disclosure and Consent, which explains the legal basis for electronic signature and the identity verification steps involved. A document signed and countersigned through the Platform cannot be voided on-platform; voiding a signed agreement requires DLP's offline legal process.


7. Sessions

  • You may request 2 to 3 preferred session slots, each at least 48 hours

from submission, on different business days.

  • DLP confirms one of your submitted slots. If none work, DLP may request

new preferences from you.

  • You may reschedule or cancel your own pending or confirmed session

directly in the Platform, subject to a fresh identity verification step (a one-time passcode sent to your verified email).


8. Partners

Some of the work behind a docket may be delivered by a DLP delivery partner, or your account may have arrived at DLP through a DLP referral partner. A delivery partner assigned to your docket sees a reference number and the scope of work relevant to that docket; a delivery partner does not see your company name, your other dockets, or the identity of DLP's other clients. Delivery partners communicate with DLP's assigned lead, not directly with you, unless DLP arranges otherwise.


9. Acceptable use

Use of the Platform is subject to our Acceptable Use Policy, which is incorporated into these Terms by reference. Material breach of that Policy is a material breach of these Terms and may result in suspension or termination of your account.


10. Fees

The Platform itself is free to access for the purpose of assessment, dossier preparation, and pipeline tracking. Fees for DLP's advisory and filing services are agreed and settled entirely offline, under your engagement letter, and are never displayed, invoiced, or collected through the Platform.


11. Intellectual property

The Platform, including its software, design, questionnaires, report templates, and content (other than content you upload), is owned by DLP or its licensors and is protected by applicable intellectual property law. You retain ownership of the documents and information you upload. You grant DLP a license to use, store, and process what you upload solely to deliver the services you have requested.


12. Disclaimers

The Platform is provided "as is" and "as available". To the fullest extent permitted by applicable law, DLP disclaims all warranties, express or implied, including any warranty of merchantability, fitness for a particular purpose, or non-infringement. DLP does not warrant that the Platform will be uninterrupted, error-free, or completely secure, or that any AI-generated content will be accurate or complete for your specific circumstances. Nothing in this section limits DLP's liability, or excludes any right, that cannot lawfully be limited or excluded.


13. Limitation of liability

To the fullest extent permitted by applicable law, DLP's total liability to you arising out of or in connection with your use of the Platform, whether in contract, tort, or otherwise, will not exceed the fees you have actually paid to DLP for the specific engagement giving rise to the claim in the 12 months preceding the event giving rise to liability, or, where no such fees have been paid, will be limited to direct damages of a reasonable amount. In no event will DLP be liable for indirect, incidental, special, or consequential damages, or for lost profits or lost data, arising from your use of the Platform. This section does not limit liability for DLP's fraud, wilful misconduct, or gross negligence, or any liability that cannot lawfully be limited.


14. Indemnity

You agree to indemnify and hold DLP harmless from any claim, loss, or expense, including reasonable legal fees, arising from your breach of these Terms, your misuse of the Platform, or the inaccuracy of information you provide, except to the extent caused by DLP's own breach of these Terms.


15. Suspension and termination

DLP may suspend or terminate your access to the Platform, with notice where practicable, for material breach of these Terms, suspected fraud or misuse, or a legal or regulatory requirement to do so. You may close your account at any time through account settings or by contacting us; account closure is handled under our Privacy Policy's deletion and retention provisions.


16. Changes to these Terms

We may update these Terms from time to time. Material changes will be notified to active account holders by email in advance of taking effect. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.


17. Governing law and dispute resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms, or your use of the Platform, will first be addressed through good-faith negotiation between the parties. If unresolved within a reasonable period, the dispute will be subject to the exclusive jurisdiction of the courts of Nigeria, without prejudice to any mandatory consumer protection forum available to you where you are using the Platform from Ghana or Kenya.
